OFFER: Receive one free 5-lb bag of 60% Cacao Dark Chocolate Chips pursuant to
these Terms and Conditions.
ELIGIBILITY: This Offer is for potential wholesale/foodservice customers only. Requests
from individual consumers will not be fulfilled. The offer is open to legal residents of the
continental United States and the District of Columbia, 18 years or older and shall be
governed solely by U.S. law. Residents of Alaska and Hawaii are not eligible to
participate. Employees and their immediate families, including household members of
Ghirardelli Chocolate Company (“Sponsor”), and respective parent companies,
affiliates, subsidiaries, divisions, advertising, and promotion agencies are not eligible.
OFFER PERIOD: This Offer begins at 8:00am Pacific Standard Time (“PST”) on August
4, 2026 and ends at 11:59pm PST on August 9, 2025, or while supplies last (the “Offer
Period”).

OFFER IS ONLY AVAILABLE ONLINE. Incomplete forms will not be accepted. All
submissions become property of Sponsor. By submitting a request, you grant Sponsor
and their respective agents all rights to use your submission and your name, voice, and
likeness for promotional purposes, including online announcements, without additional
compensation, except where prohibited by law. Any information collected shall be used
only in a manner consistent with Ghirardelli’s Privacy Policies, which can be found at

GENERAL CONDITIONS: Allow 6-8 weeks for receipt of Sample Offer. No substitutions
or exchanges are permitted, except by Sponsor who reserves the right to substitute a
Sample Offer, or part of a Sample Offer, with one of equal or greater value. Participants
shall be solely responsible for payment of any taxes. No more than one thousand
Sample Offers are available in the Offer. The Offer is subject to all applicable laws.
Offer valid for individuals only; requests from groups, clubs or organizations and
fraudulent requests will not be honored. Sample Offers cannot be redeemed for cash.
Sample Offer is provided “as is” and without any warranty of any kind. Sponsor reserves the right to verify eligibility qualifications. Sponsor and their respective affiliates, representatives, and advertising and promotion agencies are not responsible for any: (a) telephone, computer, hardware, software, or programming malfunctions or errors or interrupted or unavailable network, server or other connections, network malfunction, or other technical failures or error; (b) communication disruption or other
forces beyond the reasonable control of Sponsor, including inability to access the
Website, submit submissions, or other disruption related to internet traffic, virus, bug or
non-authorized intervention; (c) damage caused by computer virus or otherwise
resulting to any computer from entrant’s access of the Website, whether human,
mechanical or electronic, (d) incorrect or inaccurate information, whether caused by the
Website users or by any of the programming or equipment associated with or used in
the Offer, or (e) late, lost, unintelligible, misdirected, incomplete or garbled submissions.
If, for any reason, the Offer is not capable of running as planned by reason of, but not
limited to, tampering, unauthorized intervention, fraud, technical failures, or any other
causes which Sponsor deem could corrupt or affect the administration, security,
fairness, integrity or proper conduct of this Offer, Sponsor reserve the right at their sole
discretion, to cancel terminate, modify, or suspend the Offer. Any attempt by user to
deliberately damage the Website or undermine the legitimate operation of this Website
is a violation of Criminal and Civil Laws. Should such an attempt be made, Sponsor
reserves the right to seek damages from any such individual to the fullest extent
permitted by applicable law.
LIMITATIONS OF LIABILITY: By participating in the Offer, each participant agrees to
release and hold harmless Sponsor and their respective affiliated companies
subsidiaries, printers, advertising and promotion agencies and each of their respective
employees, officers, directors, members, representatives and agents (collectively, the
“Releasees”) from any and all liability for any and all claims, injuries, losses or damages
of any kind to persons, including death, or property arising in whole or in part, directly or
indirectly, from the Offer, including, but not limited to, any Offer-related activity,
participant’s request, participation or inability to participate in the Offer or the
acceptance, use or misuse of any reward.
DISPUTES: Except where prohibited, participants agree that: (1) any and all disputes,
claims, and causes of action arising out of or connected with this Offer shall be resolved
individually, without resort to any form of class action, in a court of competent jurisdiction
located in Alameda County, California; (2) any and all claims, judgments and awards
shall be limited to actual out-of-pocket costs incurred, including costs associated with
participating in this Offer, but in no event attorneys’ fees; and (3) participants hereby
waives all rights to claim, indirect, punitive, incidental and consequential damages and
any other damages, and any and all rights to have damages multiplied or otherwise
increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions , or the rights and obligations of a participant and Sponsor in connection with the Offer, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other
jurisdiction), which would cause the application of the laws of any jurisdiction other than
the state of California.
